Tokenisation & digital assets
A tokenisation framework has not yet been notified. The live route is the IFSCA FinTech Sandbox — and the underlying product stays regulated as what it is.
IFSCA — inside GIFT IFSC
- IFSCA issued a consultation paper on tokenisation of real-world assets in February 2025; a final framework has not yet been notified
- IFSCA has been explicit that this is distinct from cryptocurrencies, crypto assets, CBDCs and NFTs, which it does not regulate or permit
- The live route is the IFSCA FinTech Sandbox Framework of 16 March 2026, which supersedes the 2022 FinTech Entity framework and lists tokenisation among eligible use cases
- Four tracks — regulatory sandbox, innovation sandbox, inter-operable sandbox and overseas referral via the FinTech Bridge
- Platform and infrastructure providers may instead register under the IFSCA (TechFin and Ancillary Services) Regulations, 2025
- Until a framework is notified, a tokenised fund, bond or receivable is regulated as the underlying product, with the ledger wrapper tested in the sandbox
SEBI — the domestic market
- SEBI has not notified a general framework for tokenised securities; a tokenised instrument is regulated as the security, unit or product it represents
- Electronic Gold Receipts are the closest live analogue — gold held with a vault manager, issued as a depository-held instrument and regulated as a security under SEBI's Master Circular for EGRs
- SEBI has permitted distributed ledger technology for a defined purpose — 'Security and Covenant Monitoring' using DLT, with operational guidelines issued for depositories, debenture trustees, issuers and credit rating agencies
- The SEBI Regulatory Sandbox and Innovation Sandbox are the routes for testing a DLT-based product in the domestic market
- Crypto assets and virtual digital assets are not a SEBI-regulated product class
- Cross-listing or mirroring the same instrument across GIFT IFSC and the domestic market raises separate questions under FEMA and the securities regulations — we assess both before you commit to a structure
